QA develops, markets, licenses and supports certain proprietary computer software products and publishes various works in the area of statistical process control. QA has a website located at http://qualityamerica.com (the "Website") on which QA, among other things, publishes articles on the subject of quality control. The Author is the author of the material listed below (the "Work") that the Author and QA would like to be included on the Website.

1. The Author grants QA the non-exclusive right to publish the Work on the Website for such period of time or times as QA deems appropriate. The Author reserves all rights to the Work other than the rights granted QA hereunder.

2. The Author acknowledges that QA shall have no obligation to pay Author any compensation whatsoever in connection with publication of the Work on the Website.

3. Author represents and warrants that (a) all material in the Work is either Author’s original work or has been authorized for use in the Work by appropriate parties; (b) the Work does not infringe upon the copyright of any other work; and (c) the Work is not obscene, libelous, and does not invade the privacy of any person, or contain unlawful matter.

4. The Author shall indemnify and hold harmless QA against all claims, suits, damages and expenses that QA may sustain based on an alleged violation of the Author’s warranties.
